Website Terms of Use.

Effective Date: October 29, 2026

These Website Terms of Use govern access to and use of the public marketing websites operated by EyeOTmonitor LLC (“Company,” “we,” “us,” or “our”), including eyeot.ai and public informational pages that link to these Terms (collectively, the “Website”). By using the Website after being presented with these Terms, you agree to them. If you do not agree, discontinue use of the Website.

EyeOT is a platform provided by EyeOTmonitor LLC. EyeOT Ops and EyeOT Planner are product names, not separate legal entities.

1Scope and Product Agreements

The Website provides information about our products, services, events, and resources and allows visitors to contact us or request demonstrations. These Terms apply to that public website activity only.

Access to or use of EyeOT Ops, EyeOT Planner, and related applications, agents, APIs, trials, and subscriptions is governed by the separate EyeOT Platform Terms of Service or another applicable agreement with the Company. These Website Terms do not grant a product license, govern data processed through those products, or change a signed customer agreement. Product-related claims are governed by the applicable product agreement, even if you reached the product through the Website.

2Eligibility and Permitted Access

The Website is directed to business and professional audiences. You must have legal capacity to agree to these Terms. If you act on behalf of an organization, you represent that you have authority to bind it with respect to your use of the Website.

You may access and use the Website to learn about our offerings, evaluate them for business purposes, and contact us, subject to these Terms and applicable law. General access to the public Website is free. Any separately offered paid access requires your acceptance of the applicable fees and terms before charges apply.

3Website Content and Trademarks

The Website and its text, articles, brochures, graphics, images, videos, designs, software, and other content are owned by the Company or its licensors and are protected by applicable intellectual property laws. EyeOT, EyeOT Ops, EyeOT Planner, and Company logos are Company brands. Third-party names and marks belong to their respective owners. No right to use a trademark is granted except as expressly permitted in writing or by law.

You may view the Website and download or print publicly available materials for internal business evaluation, retaining copyright and other proprietary notices. You may share links to public pages. Partners may also use materials within the scope of their written partner permissions. You may not otherwise reproduce, modify, sell, republish, or distribute Website content without written permission, except as permitted by applicable law. These restrictions do not limit rights to customer deliverables under the applicable Platform Terms or customer agreement.

4Acceptable Use

You must not:

  • Use the Website unlawfully, infringe others’ rights, or submit fraudulent, misleading, or malicious material.
  • Attempt unauthorized access to systems, accounts, or non-public information.
  • Introduce malicious code, overload the Website, or interfere with its operation or other visitors’ use.
  • Bypass security controls, access restrictions, or reasonable technical safeguards.
  • Scrape or harvest Website content or contact information through unauthorized automated means, or use automation that materially burdens the Website.
  • Impersonate another person or misrepresent your relationship with the Company.
  • Conduct penetration testing or other intrusive security testing without prior written authorization.

Ordinary search-engine indexing of public pages is permitted subject to applicable robots directives and reasonable rate limits. Authorized APIs and integrations are governed by their applicable product terms and are not prohibited by this section.

5Information and Third-Party Links

Website materials are provided for general information. We may update descriptions, availability, specifications, and pricing and correct errors or omissions. We do not promise that every Website statement is complete, current, or suitable for your particular requirements. Purchased features, fees, support, and commitments are determined by your accepted product agreement or Order Form. Roadmaps and descriptions of planned capabilities are not promises to deliver future functionality.

The Website may link to third-party sites or resources. A link does not imply endorsement. We do not control those sites or their content, services, or privacy practices. Your use of them is subject to their terms. This provision does not disclaim obligations we owe concerning subprocessors under a product agreement.

You may link to our public pages if the link accurately identifies its destination and does not falsely suggest sponsorship, affiliation, or endorsement. Do not frame or replicate the Website or use our logos without permission.

6Communications and Privacy

Information submitted through contact forms, demo requests, and similar Website features must be accurate, lawful, and submitted with appropriate authority. Do not send passwords, device credentials, confidential project files, or sensitive customer information through general marketing forms. Use the authorized product or support channels for those materials.

We process personal information collected through the Website as described in our Privacy Policy. Cookie information and available preferences are provided through the Website’s privacy and cookie controls. These Terms do not replace consent where applicable law requires it or waive applicable privacy rights.

You retain rights in materials you submit. You authorize us to use those materials as reasonably necessary to respond to your request and provide the interaction you requested, subject to the Privacy Policy and any applicable confidentiality agreement. If you voluntarily provide non-confidential suggestions about the Website, we may use them without payment, but this permission does not authorize publication of your personal information or use of your name or logo as an endorsement.

7Disclaimers

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, ACCURATE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INTERNET TRANSMISSIONS WILL BE COMPLETELY SECURE.

THESE DISCLAIMERS CONCERN THE PUBLIC WEBSITE ONLY. WARRANTIES AND OTHER OBLIGATIONS EXPRESSLY PROVIDED IN AN APPLICABLE PRODUCT AGREEMENT REMAIN GOVERNED BY THAT AGREEMENT. NOTHING HERE EXCLUDES RIGHTS OR WARRANTIES THAT CANNOT LAWFULLY BE EXCLUDED.

8Limitation of Liability

TO THE EXTENT ALLOWED BY APPLICABLE LAW, EYEOTMONITOR LLC WILL NOT BE RESPONSIBLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS, CORRUPTION, OR UNAVAILABILITY OF DATA, LOST REVENUE OR PROFITS, OR HARM TO GOODWILL OR REPUTATION, ARISING FROM OR RELATED TO THESE TERMS OR YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE WEBSITE. THIS EXCLUSION APPLIES REGARDLESS OF THE LEGAL BASIS OF THE CLAIM, INCLUDING CONTRACT, TORT, OR NEGLIGENCE, AND WHETHER OR NOT THE COMPANY WAS INFORMED THAT SUCH HARM COULD OCCUR.

IF THE COMPANY IS FOUND LIABLE DESPITE THESE EXCLUSIONS, ITS TOTAL COMBINED LIABILITY FOR ALL CLAIMS CONCERNING THESE TERMS OR THE WEBSITE WILL NOT EXCEED THE FEES, IF ANY, YOU ACTUALLY PAID TO THE COMPANY SPECIFICALLY FOR USE OF THE WEBSITE DURING THE THREE (3) MONTHS IMMEDIATELY BEFORE YOU FIRST BRING A CLAIM. THIS IS AN AGGREGATE LIMIT, NOT A SEPARATE LIMIT FOR EACH CLAIM. WHERE NO SUCH FEES WERE PAID, THE LIMIT IS ZERO, EXCEPT TO THE EXTENT APPLICABLE LAW REQUIRES OTHERWISE.

FEES PAID FOR EYEOT OPS, EYEOT PLANNER, OR OTHER PRODUCT SERVICES ARE NOT WEBSITE FEES. LIABILITY ARISING FROM THOSE PRODUCTS IS GOVERNED BY THEIR APPLICABLE AGREEMENT, NOT THIS SECTION.

Some jurisdictions restrict exclusions or limitations of particular damages or liabilities. These provisions apply only to the extent permitted in the applicable jurisdiction. Nothing excludes liability or remedies that cannot lawfully be excluded or limited, including liability for fraud or willful misconduct where such limitation is prohibited.

9Indemnification

To the extent permitted by law, you will defend and indemnify the Company against third-party claims arising from your unlawful use of the Website, your material violation of Section 4, or materials you submit that infringe third-party rights. This obligation covers damages and reasonable legal fees finally awarded or included in a settlement you approve. It does not apply to the extent a claim results from the Company’s breach of these Terms, negligence, or willful misconduct.

The Company will promptly notify you of a covered claim, allow you to control its defense with qualified counsel, and provide reasonable cooperation at your expense. Delayed notice relieves your obligations only to the extent it materially prejudices the defense. You may not settle a claim in a way that admits fault by or imposes obligations on the Company without its prior written consent, not to be unreasonably withheld.

10Changes and Termination

We may modify, suspend, or discontinue public Website features and restrict access to address misuse, security concerns, legal requirements, or operational needs. You may stop using the Website at any time. Changes to or termination of public Website access do not terminate a paid product subscription or alter a separate customer agreement.

We may revise these Terms by posting an updated version and effective date. Material changes will take effect thirty (30) days after posting, unless an earlier change is necessary for legal compliance or an urgent security issue. Changes apply prospectively. Continued use after the effective date constitutes acceptance to the extent permitted by law. If you disagree, discontinue use. Updates to these Website Terms do not amend the separate Platform Terms or a signed agreement.

Provisions concerning ownership, disclaimers, liability, indemnification, dispute resolution, and other provisions that by their nature should survive remain effective after Website use ends.

11Governing Law and Disputes

These Terms are governed by Illinois law, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve a dispute through discussions for thirty (30) days after written notice. Unresolved disputes are subject to the exclusive jurisdiction of the state courts in Cook County, Illinois, or the United States District Court for the Northern District of Illinois, as applicable. Either party may seek urgent injunctive relief in a court of competent jurisdiction to protect confidential information or intellectual property. Mandatory rights under applicable law are not affected.

12General Provisions

These Terms govern public Website use only and constitute the agreement on that subject. They do not create a partnership, agency, employment relationship, or authority to make commitments for the Company. No third party receives enforcement rights under them.

You may not assign these Terms without our written consent. We may assign them in connection with an affiliate transfer, reorganization, merger, or sale of the relevant business, provided the successor assumes our obligations. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver.

We are not responsible for delays or failures caused by events beyond our reasonable control. Electronic records and acceptance may evidence agreement to these Terms. Website notices may be posted on the Website or sent to an email address you provide. Formal notices to the Company may be sent to the contact information below; this does not replace legal requirements for service of court documents.
